Terms of Service

These Terms of Service ("Terms") govern your access to and use of OmniSubs (the "Service"), which is built and operated by EGO HERO LLC("EGO HERO", "we", "us", or "our"). By creating an account, uploading content, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction, whichever is higher) to use the Service. By using the Service you represent that you meet this requirement and that you have the legal capacity to enter into these Terms.

2. Accounts

You are responsible for all activity that occurs under your account, for maintaining the confidentiality of your credentials, and for keeping your account information accurate. You must notify us immediately of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

3. The Service

OmniSubs is an AI-assisted tool that helps users generate and translate subtitles for audiovisual content they provide. The Service extracts audio from uploaded video files locally in your browser, sends that audio to third-party speech-to-text providers for transcription, and sends the resulting text to third-party large-language-model providers for translation. The Service is provided for lawful personal and business use only.

4. Your Content and IP Rights

You retain all ownership rights to any files, audio, text, or other materials you upload or otherwise provide to the Service ("User Content").

You represent and warrant that you own all rights, title, and interest in and to the User Content you submit, or that you have obtained all necessary rights, licenses, consents, and permissions from the rightful owners to upload, process, transcribe, translate, store, and download that content through the Service. You are solely responsible for the User Content you submit, and for any consequences of submitting it.

You grant EGO HERO a limited, non-exclusive, worldwide, royalty-free license to store, transmit, process, transcribe, translate, and reproduce your User Content solely as necessary to operate and provide the Service to you, including by passing excerpts of your content to the third-party AI providers listed in our Privacy Policy. This license ends when you delete the User Content or your account, subject to reasonable backup-deletion timelines.

We do not claim ownership of your User Content. We do not use your User Content to train machine-learning models.

5. Prohibited Content and Conduct

You may not submit to the Service any content that:

• infringes any copyright, trademark, patent, trade secret, moral right, publicity or privacy right, or any other intellectual property or proprietary right;
• you do not own or do not have written permission or a valid license to upload and process;
• contains sexual content involving minors, non-consensual sexual content, or content that sexually exploits or endangers children;
• promotes or incites violence, terrorism, self-harm, or illegal activity;
• contains malware, viruses, or code designed to disrupt or damage software or hardware;
• violates any applicable law, regulation, court order, or third-party agreement.

You also agree not to:

• reverse engineer, decompile, or attempt to extract the source code of the Service;
• scrape, crawl, or programmatically access the Service in a manner that places an unreasonable load on our infrastructure;
• resell, sublicense, or redistribute the Service without our written permission;
• use the Service to generate content that impersonates, defames, or harasses any person.

We may remove content, suspend accounts, and cooperate with law enforcement in response to violations of this section.

6. AI-Generated Output

Transcriptions and translations produced by the Service are generated by automated AI systems and may contain inaccuracies, omissions, mistranslations, or offensive outputs. You are responsible for reviewing, correcting, and verifying any output before relying on it for any purpose, particularly any use where accuracy is important (for example, legal, medical, financial, accessibility, or broadcast use). EGO HERO makes no representation that the output is fit for any particular purpose.

7. Third-Party Services

The Service relies on third-party AI and infrastructure providers (including, without limitation, OpenAI and Google) to process audio and text. Your use of the Service is also subject to those providers' terms and policies. We are not responsible for the acts, omissions, availability, or policies of any third-party provider. See our Privacy Policy for details on which providers receive what data.

8. DMCA / Copyright Complaints

We respect intellectual property rights and respond to valid copyright-infringement notices under the United States Digital Millennium Copyright Act (DMCA) and comparable laws in other jurisdictions. If you believe content processed through the Service infringes your copyright, send a written notice to the contact address below that includes:

• your physical or electronic signature;
• identification of the copyrighted work claimed to have been infringed;
• identification of the material claimed to be infringing and information reasonably sufficient to locate it;
• your contact information;
• a statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law;
• a statement, made under penalty of perjury, that the information in the notice is accurate and that you are the owner, or authorized to act on behalf of the owner, of the right infringed.

We will remove material in response to valid notices and will terminate, in appropriate circumstances, the accounts of repeat infringers.

9. Disclaimer of Warranties

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT THE OUTPUT WILL BE ACCURATE OR RELIABLE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL EGO HERO LLC, ITS AFFILIATES, OFFICERS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) USD $50.

11. Indemnification

You agree to indemnify, defend, and hold harmless EGO HERO LLC and its affiliates, officers, employees, and suppliers from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your User Content; (b) your use of the Service; (c) your violation of these Terms; or (d) your violation of any rights of another party, including any intellectual-property or privacy rights.

12. Suspension and Termination

We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice, including if we believe you have violated these Terms. On termination, your right to use the Service ceases immediately; you may request export or deletion of your User Content subject to reasonable backup timelines.

13. Changes to the Service and the Terms

We may modify the Service at any time. We may also update these Terms from time to time; material changes will be announced via the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. You agree that any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of those courts.

15. Severability and Entire Agreement

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. These Terms, together with the Privacy Policy, constitute the entire agreement between you and EGO HERO LLC regarding the Service.

16. Refunds and Service Credits

The Service charges credits for processing audio and producing translated subtitles. This section describes when credits or payments are refundable and when they are not. It should be read alongside sections 6 (AI-Generated Output), 9 (Disclaimer of Warranties), and 10 (Limitation of Liability), which govern the quality and availability of the Service more broadly.

16.1 General principle

AI-generated transcription and translation output is probabilistic and may contain errors, mistranslations, omissions, or offensive phrasing. Output quality is not a basis for a refund or credit restoration; you are responsible for reviewing the output before relying on it (see section 6). Refunds and credit restorations are available in the specific situations described below — all of them relate to our infrastructure or billing, not to the content of the AI output.

16.2 Pay-as-you-go

If a transcription or translation job fails on our servers before producing usable output, any credits or amounts charged for that job are automatically restored to your account, typically within 24 hours of the failure. You do not need to contact us.

If a job completes and produces a subtitle track, the charge is final, even if you are unsatisfied with the quality of the AI output.

16.3 Credit packs

Credit packs are non-refundable once any credits from the pack have been consumed. Within 7 days of purchase, if no credits from the pack have been consumed, you may request a full refund by emailing hello@egohero.com from the email address on your account.

Credits that expire at the end of their validity window (6 months for the $30 pack, 12 months for the $100 pack) are forfeited. We do not refund the unused balance at expiration.

16.4 Monthly and yearly subscriptions

You may cancel a subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You retain access to any credits for the remainder of the paid-through period, subject to the monthly expiration rules described in the plan. We do not issue pro-rata refunds for cancelled periods.

For yearly subscriptions specifically: within 7 days of the initial purchase, if you have consumed no credits, you may request a full refund by emailing hello@egohero.com. After that window, the yearly subscription is non-refundable for the remainder of the term.

Unused monthly credits expire at the end of each month and are not refundable or transferable, even after a cancellation.

16.5 Service outages and third-party failures

If a job fails because of an outage of our own infrastructure, credits are automatically restored as described in section 16.2. If a job fails because of an outage or error at one of the third-party providers listed in our Privacy Policy (for example, the OpenAI Whisper API or Google Gemini API), we will, in most cases, restore the affected credits, but we are not contractually obligated to do so. Nothing in this section creates a service- level agreement or uptime guarantee; see section 9.

16.6 How to request a refund or credit restoration

Automatic credit restoration requires no action on your part — failed jobs are detected server-side and credits are returned to your account.

For all other refund or credit requests covered by this section, email hello@egohero.com from the email address on your account, with the job ID(s) and a brief description of the issue. We aim to respond within 5 business days. Approved refunds are issued back to the original payment method and may take additional time to appear on your statement depending on your bank or card issuer.

16.7 Statutory consumer rights

Nothing in this section limits any non-waivable consumer rights you may have under applicable law, including rights granted under the EU Consumer Rights Directive, the UK Consumer Contracts Regulations, the California Consumer Privacy Act, or similar legislation in your jurisdiction. Where local law provides a 14-day right of withdrawal from distance contracts, that right applies subject to the usual exceptions for digital content that has already been delivered and consumed at your request.
